Archer Signs Acquisition Agreements with Three Boeing Subsidiaries
Archer Aviation is acquiring Boeing's subsidiaries Wisk Aero, SkyGrid, and Insitu. In exchange for the transaction, Boeing will receive equity in Archer and gain access to Wisk's autonomous flight technology. The final agreements were signed on the 10th, and after the deal is completed, Boeing will become a strategic partner of Archer. Just before the transaction, Archer will issue new shares equivalent to 19.75% of its outstanding shares to Boeing, resulting in Boeing holding approximately 16.5% of Archer's equity. This agreement involves Boeing transferring its eVTOL subsidiary to Archer in exchange for equity, focusing on electric vertical takeoff and landing aircraft and autonomous flight technology. Wisk has designed a sixth-generation eVTOL aircraft and conducted over 1,700 test flights, while SkyGrid develops air traffic management software, and Insitu manufactures unmanned aerial systems. Boeing stated that the three companies will add over $200 million in annual revenue to Archer's portfolio in the defense sector. With this transaction, Archer expands its business scope to include not only civilian eVTOLs but also unmanned vehicles and air traffic management software. Archer and Wisk have agreed to cooperate after resolving their legal disputes, with Wisk designated as the exclusive supplier of Archer's autonomous flight technology. The transaction is expected to be finalized by the end of 2026.
