tZERO to Go Public on NYSE American via Merger with FG Imperii Acquisition Corp
tZERO, a company that facilitates digital versions of stocks and other investments, aims to go public in early 2027. This will occur through a merger with FG Imperii Acquisition Corp, a blank check company. After the merger, shares will be traded under the ticker TZRO on the NYSE American. The valuation for the merger is up to $350 million, of which $25 million is contingent on future performance. The transaction still requires approval from shareholders, regulators, and the exchange. tZERO provides systems that allow financial institutions to issue, trade, and store assets as digital tokens. FG Imperii's cash holds up to $231 million, but this amount is not guaranteed as shareholders can redeem their funds. Both boards have approved the merger, and shareholders representing 62 percent of tZERO have pledged support. However, approval of a prospectus is still needed. The IPO is a significant development for the market of tokenized stocks, especially given recent objections from major exchange companies against tokens of their stocks.
