Nubank Falls 10% Amid Possible Acquisition of Monzo: What Concerns the Market

Nubank's shares closed down 10% on Nasdaq after news surfaced about negotiations for the acquisition of Monzo Bank, the British digital bank with 16 million customers. The deal, which could value Monzo between £8 billion and £10 billion, would be by far the largest merger and acquisition in the history of the fintech founded by David Vélez.

With the drop, Nubank is now valued at around $60 billion. Over the past twelve months, the stock has accumulated a decline of 21%. The market's reaction was not against the international expansion thesis itself, but against the price and execution risk involved.

Why the Market Reacted So Negatively to the Possible Acquisition of Monzo

The main concern for investors lies in the valuation. According to analysts' estimates, the discussed price would imply a multiple of 93 to 116 times Monzo's earnings and about 5 times its revenue. For comparison, Nubank itself trades at 21 times earnings and 3.5 times revenue. In other words, the Brazilian fintech would be paying a substantially higher premium than its own multiple for an asset that does not yet demonstrate significant profit growth.

Monzo reported revenue of £1.7 billion in the last fiscal year, a 39% increase over the previous period. Pre-tax profit was £172.6 million, a growth of 20%. These are solid numbers, but they do not easily justify a multiple three to five times above what the market attributes to the buyer.

In addition to the price, there is regulatory risk. The UK has one of the most stringent banking environments in the world, supervised by the PRA and the FCA. A cross-border operation of this magnitude would require capital segregation, heavy investments in compliance, and multinational solvency supervision. All this in a company that, as we have discussed when analyzing the trajectory of Brazilian fintechs, built its competitive advantage precisely on an ultra-low-cost structure.

Nubank's M&A History Does Not Help

The market's memory weighs against Nubank in this type of operation. The acquisition of Easyinvest for around 2 billion reais, conducted before the IPO, is widely considered poorly executed. The integration was problematic, and the deliveries fell short of expectations. Managers who closely follow the company classify the operation as a negative case study.

Since then, Nubank has made other smaller acquisitions and investments, such as the purchase of Hyperplane, but all followed an acqui-hire profile, focused on absorbing specific talents and technologies. None compare, in scale or complexity, to the potential purchase of a digital bank with 16 million customers on another continent.

The concern is that Vélez's management may be repeating a pattern: underestimating the difficulty of integrating distinct corporate cultures, technological bases, and regulatory regimes. Those who follow the mergers and acquisitions sector in the financial market know that the failure rate in international M&As in the banking sector is historically high.

What Nubank Would Gain from Monzo

Not everything is risk. From a strategic point of view, the transaction would have relevant merits. Monzo would give Nubank an immediate presence in developed markets, with access to deposits in pounds sterling, a strong currency that would reduce exposure to the typical exchange rate volatility of the emerging markets where the fintech operates.

Founded in 2015, Monzo operates in England, Scotland, Wales, and Northern Ireland, with ongoing expansion into Ireland and Spain. There are 15 million individual customers and 1 million business customers. Analysts point out that the consumer base is highly loyal, which would pave the way for Nubank to implement its low-cost credit granting algorithms in a population with a risk profile different from that of Latin Americans.

The central point is whether the company could replicate in the UK the model that made it profitable in Latin America: extremely low operational cost per customer. In a G10 banking environment, with high cost structures and intense regulation, this equation is much harder to close.

Alternatives to M&A and What to Watch in the Coming Weeks

It is worth noting that acquisition is not the only path. Monzo is also considering selling a stake of up to 15% to venture capital funds in a new fundraising round. A third possibility would be an IPO on the London Stock Exchange. Both alternatives would reduce the risk for Nubank, which could participate as a minority investor without assuming the burden of full integration.

Analysts from major banks are divided. While some recognize the transformational potential of the operation, others warn that it represents a distraction from the company's current focus: expansion in the United States and deepening in Mexico, markets that still require significant attention and capital.

For investors following Nubank's thesis, the moment calls for caution. The information is still incomplete, and the outcome could range from a full acquisition to a simple minority stake. What is clear is that the market has priced the more aggressive scenario as negative. The 10% drop in a single trading session shows that, at the current valuation, investors are not willing to give the benefit of the doubt.
